Governing Law
The laws of the State of New York shall govern, construe and enforce all of the rights and duties (2 p.) the Parties arising (2 p.) or relating in any way to the subject matter of this Agreement. The Parties shall make commercially reasonable efforts to reach an amicable settlement. Provided that the Parties have failed to seek such amicable solution either Party may refer the dispute (2 p.) court.
