Binding Effect Clause

This Agreement shall be binding (2 p.) and inure (2 p.) the benefit of the Parties hereto and their respective successors and permitted assigns. No Party may assign either this Agreement or any of their rights, interests, or obligations hereunder (2 p.) the prior written approval of the other Party(ies), except as may be expressly permitted in this Agreement. This Agreement may not be modified, amended, or terminated except (2 p.) an instrument in writing, signed by all Parties hereto. This Agreement constitutes the entire agreement between the Parties (2 p.) respect to the subject matter hereof and supersedes all prior agreements and understandings, both oral and written, between the Parties.
